These Terms and Conditions govern your access to and use of Myvaltrix's website and professional AI consultancy services. Please read them carefully. By engaging our services or using this website, you acknowledge that you have read and agree to these terms.

1. Definitions
In these Terms:
- "Myvaltrix", "we", "us", "our" — refers to Myvaltrix, a consultancy registered in Malaysia with a principal office at 9 Lorong Kuda, 50460 Kuala Lumpur.
- "Client", "you", "your" — any person or organisation that engages Myvaltrix for services or accesses this website.
- "Services" — AI consultancy services including Knowledge Graph Construction, Fraud Pattern Analysis, and AI Ethics Review, as described on our website.
- "Engagement" — a specific, agreed-upon service delivery governed by a Statement of Work or written agreement.
- "Deliverables" — written reports, models, data structures, or other outputs produced during an Engagement.
- "Agreement" — these Terms, together with any applicable Statement of Work, proposal, or service contract.
2. Acceptance of Terms
By using this website or commissioning our services, you confirm that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your organisation. If you are acting on behalf of a company, you represent that you are authorised to bind that company to these Terms.
3. Service Description
Myvaltrix provides professional AI consultancy services to organisations seeking to apply artificial intelligence responsibly. Our current service offerings include:
- Knowledge Graph Construction — 10-week engagement, from RM 3,800
- Fraud Pattern Analysis — 8-week engagement, from RM 4,400
- AI Ethics Review — 4-week engagement, from RM 1,100
Each engagement is scoped in writing prior to commencement. Services are delivered remotely or on-site in Kuala Lumpur by arrangement. We reserve the right to modify or discontinue service offerings with reasonable notice.
4. Engagements and Delivery
Each service engagement begins with a written proposal or Statement of Work that outlines scope, timeline, deliverables, and pricing. The engagement commences upon written acceptance and receipt of any applicable deposit.
Timelines stated are indicative and may be adjusted if the client's provision of materials, data access, or feedback is delayed. We will notify you promptly of any anticipated schedule changes. Myvaltrix is not responsible for delays caused by factors outside its reasonable control.
Deliverables will be reviewed jointly at the close of each engagement. Any requested amendments must be raised within 14 days of delivery. Amendments beyond the agreed scope may be subject to additional fees.
5. Payment Terms
All fees are quoted and invoiced in Malaysian Ringgit (RM) unless otherwise agreed. Standard payment terms are:
- 50% deposit payable upon written agreement to commence
- 50% balance payable within 14 days of final delivery
- Invoice payment via bank transfer to nominated Myvaltrix account
Late payments (beyond 30 days from invoice date) may incur interest at a rate consistent with Malaysian commercial practice. Where payment is not received after reasonable follow-up, Myvaltrix reserves the right to suspend or terminate the engagement.
Quoted prices do not include applicable taxes. Any goods and services tax (SST) or equivalent will be itemised separately on invoices.
Refund Policy: Deposits are non-refundable once work has commenced. If Myvaltrix is unable to deliver due to circumstances within our control, a pro-rated refund of fees paid will be provided. No refunds apply to completed engagements unless agreed in writing.
6. Intellectual Property
Upon full payment, Myvaltrix grants the client a non-exclusive, perpetual licence to use the Deliverables produced under the specific engagement for internal business purposes.
Myvaltrix retains ownership of all methodologies, frameworks, templates, pre-existing tools, and background intellectual property used in producing Deliverables. The client does not acquire rights to Myvaltrix's proprietary methods or reusable components.
Client data and materials provided to Myvaltrix remain the property of the client at all times. The client grants Myvaltrix a limited licence to use such materials solely for the purpose of delivering the agreed services.
Myvaltrix may reference the engagement type (not client identity or data) as part of general portfolio or capability descriptions, unless the client requests otherwise in writing.
7. Confidentiality
Both parties agree to treat as confidential any non-public information shared during the course of the engagement. Myvaltrix will not disclose client data, business information, or project details to third parties without prior written consent, except where required by law. This obligation continues for a period of three years following the conclusion of an engagement. Where a more formal Non-Disclosure Agreement is required, Myvaltrix is open to executing one prior to commencement.
8. Website Use and User Conduct
By accessing this website, you agree not to:
- Use automated tools to scrape or extract content
- Attempt to interfere with the site's functionality or security
- Submit false or misleading information through our contact forms
- Use the site for any unlawful purpose
- Reproduce or redistribute our content without written permission
We reserve the right to restrict access for conduct that violates these terms or disrupts the experience of others.
9. Disclaimers
Our services and website are provided in good faith but without warranty of any kind, express or implied. In particular:
- Consultancy outputs represent professional analysis and recommendations — they are not legal, financial, or regulatory advice.
- AI model performance and detection rates depend on data quality and operational conditions; we make no specific performance undertakings.
- Website availability may be subject to maintenance or interruptions beyond our control.
Clients are responsible for their own decisions made on the basis of our Deliverables.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Myvaltrix's total liability for any claim arising from a specific engagement shall not exceed the total fees paid by the client for that engagement. Myvaltrix shall not be liable for indirect, consequential, or special losses, including but not limited to loss of profits, data loss, or business interruption, even where such losses were foreseeable. Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud.
11. Indemnification
The client agrees to indemnify and hold harmless Myvaltrix, its team members, and associates from any claims, losses, or expenses arising from: the client's misuse of Deliverables; the client's breach of these Terms; or the client's provision of inaccurate or incomplete information that affects the quality of our work.
12. Termination
Either party may terminate an engagement by providing 14 days' written notice. Upon termination:
- The client is liable for fees covering work completed to the termination date
- Myvaltrix will deliver any completed portions of the Deliverables
- Each party will return or securely destroy the other's confidential materials
Myvaltrix may terminate immediately if the client fails to pay after reasonable notice, engages in conduct that compromises our team's wellbeing, or breaches confidentiality obligations. Provisions on intellectual property, confidentiality, and limitation of liability survive termination.
13. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to:
- First attempt resolution through direct communication in good faith
- If unresolved within 30 days, refer the matter to mediation under the Asian International Arbitration Centre (AIAC) mediation rules
- If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia
14. General Provisions
- Entire Agreement: These Terms, together with any applicable Statement of Work, constitute the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remainder of these Terms continues in full effect.
- No Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: Neither party may assign their obligations under these Terms without the other's prior written consent.
- Notices: Formal notices should be delivered by email to the addresses specified in the Statement of Work or below.
15. Changes to These Terms
We may update these Terms periodically. Revised versions will be posted on this page with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the updated Terms. For active engagements, material changes will be communicated in writing and require client acknowledgement.
